Terms of Service

1. Account and Subscription

Upon account creation, you receive access to HARi CRM matching your chosen plan for internal business operations. For workspaces with multiple users, you must require each user to maintain secure, confidential passwords, maintain updated user lists, and prevent credential sharing. You may change plans at any time. Upgrades provide immediate access with pro-rated fees. Downgrades take effect on the next billing date.

2. Acceptable Use

You shall not access, store, distribute or transmit any material that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable. You shall not copy, modify, reverse engineer, or create derivative works from the Services; access the Services to build a competing product; or license, sell, or commercially exploit the Services to third parties.

3. Your Data

You own all rights to your data. You are solely responsible for its legality, reliability, integrity, accuracy, and quality. We process your data in accordance with our Privacy Policy and Data Protection Policy. If we process personal data on your behalf, you are the data controller and we are the data processor. If your account is terminated or expires, we retain your data for 30 days to allow recovery, after which it is permanently deleted.

4. Our Obligations

We provide HARi CRM Services according to your purchased plan. We use reasonable endeavours to ensure 24/7 availability, except during scheduled maintenance. We do not warrant that use will be uninterrupted or error-free, or that Services will meet all specific requirements. For errors reported by you, we will use reasonable efforts to correct them as soon as practicable.

5. Fees and Payment

Fees are charged per workspace at the rate published on our Pricing page. If payment is not received within 7 days of the due date, we may suspend access and may terminate your account after 90 days. All fees are in Hong Kong Dollars (HKD), non-refundable, and exclusive of applicable taxes. We may adjust fees with 30 days' written notice.

6. Intellectual Property

We own all intellectual property rights in HARi CRM. This Agreement grants you no rights to our patents, copyrights, trade secrets, trademarks, or other intellectual property beyond the right to use the Services as described herein.

7. Confidentiality

Each party holds the other's confidential information in confidence and will not disclose it to third parties, except as required by law or court order. Your data is your confidential information. HARi CRM's technical specifications and performance data are our confidential information.

8. Limitation of Liability

To the fullest extent permitted by law, Services are provided "as is." We are not liable for lost profits, lost business, data corruption, or indirect or consequential losses. Our total aggregate liability is limited to the fees paid by you during the 12 months preceding the claim. Nothing in this Agreement excludes our liability for death or personal injury caused by negligence, or for fraud.

9. Term and Termination

This Agreement commences when you create your account. Subscriptions automatically renew unless you cancel before the next billing date. Either party may terminate immediately if payment is not received within 90 days, or if the other party commits a material breach not remedied within 14 days. Upon termination, we disable your account and delete your data after the 30-day recovery period.
